Terms of Service

1. Service Description

Debnix is an AI-powered inventory management tool for Shopify sellers. We provide:

• Inventory stockout predictions based on historical sales data
• Automated alerts when products are at risk of running out
• Auto-calculated reorder points based on sales velocity and supplier lead times
• ABC analysis to categorize products by revenue contribution
• Purchase order management from creation to receiving
• AI-generated supplier email drafts for reordering
• Profitability tracking with margin and revenue reports
• Surge mode simulation for demand spike planning
• Dead stock detection to identify slow-moving inventory

2. Accounts

• You must be at least 18 years old to use Debnix
• You are responsible for maintaining the security of your account credentials
• One Shopify store per account
• You must provide accurate information when signing up
• You may not share your account with others or use it for multiple businesses
• For Shopify App Store installations, your account is created automatically when you install the app

3. Free Trial and Billing

• New accounts receive a 30-day free trial with full access
• After the trial, continued use requires a subscription at $21.99/month
• Subscriptions renew automatically each month until cancelled
• Prices may change with 30 days written notice to your registered email

Shopify App Store Billing

For merchants who install Debnix from the Shopify App Store, billing is handled directly by Shopify through the Shopify Billing API. Shopify manages subscriptions, invoicing, and payment collection. You can cancel anytime from your Shopify admin. We never see or store your payment details.

Standalone Billing

For merchants using debnix.com directly, payments are processed by Paddle (paddle.com), our Merchant of Record. Paddle handles billing, taxes, invoices, and refunds. We never see or store your credit card details. You can cancel anytime from the Settings page.

4. AI-Generated Content

• Stockout predictions are estimates based on historical sales patterns. We do not guarantee their accuracy
• AI-generated email drafts must always be reviewed and approved by you before sending
• You are solely responsible for reviewing all AI-generated emails before they are sent
• Debnix is not liable for any decisions you make based on predictions or AI recommendations
• ABC analysis classifications and reorder point calculations are based on available data and may not reflect all business factors
• Surge mode simulations are hypothetical scenarios for planning purposes only

5. Shopify Integration

• We request read access and limited write access to your Shopify store for syncing inventory data. We do not modify your orders, customers, or store settings
• You authorize us to access your store data when you install from the Shopify App Store or connect via OAuth
• You can revoke access at any time by uninstalling the app from the Shopify App Store or disconnecting from the Settings page
• Upon uninstallation or disconnection, your Shopify access token is immediately and permanently deleted
• For App Store installations, all stored data is permanently deleted upon uninstall

6. Limitation of Liability

Debnix is provided "as is" without warranty of any kind, express or implied.

• We are not liable for stockouts, missed sales, lost revenue, or any business losses
• We are not liable for inaccurate predictions or AI-generated content
• Our maximum liability to you is limited to the total amount you paid to Debnix in the 3 months preceding the claim
• We are not responsible for Shopify downtime, payment processor issues, or third-party service interruptions

7. Cancellation and Data

• You can cancel your subscription at any time
• For Shopify App Store users, uninstalling the app cancels your subscription and permanently deletes all data
• For standalone users, cancellation is effective at the end of your current billing period. Your data remains accessible for 30 days after cancellation, then is permanently deleted
• We do not offer refunds for partial months

8. Acceptable Use

You agree not to:

• Use Debnix for any illegal purpose
• Attempt to reverse engineer or copy our AI models or algorithms
• Share your account credentials or resell access to Debnix
• Attempt to access other users' data
• Use the service in a way that disrupts performance for other users

9. Changes to These Terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Continued use after the effective date constitutes acceptance.
